BUSINESS CLUB AFRICA RESERVES THE RIGHT TO AMEND, REMOVE, OR ADD TO THESE TERMS AT ANY TIME WITH OUR WITHOUT NOTICE. SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY. IF AT ANY TIME YOU NO LONGER AGREE TO BE BOUND BY THESE TERMS, YOU MUST IMMEDIATELY STOP ACCESSING THE SERVICES, YOU MAY NO LONGER USE LICENSED MATERIALS IN YOUR POSSESSION, AND YOU MUST DELETE ANY LICENSED MATERIALS THAT ARE STORED IN YOUR POSSESSION, IN ACCORDANCE WITH THIS AGREEMENT.

KING OF BRANDS may provide to an associated third party any necessary information (including your contact information) to render aspects of the Services, or if there is a complaint, dispute or conflict which requires the information.

These paragraphs limit the risk or liability of KING OF BRANDS, constitutes an assumption of risk or liability by you, impose an obligation by you to indemnify KING OF BRANDS.

4.USER RESPONSIBILITIES AND WARRANTIES

5.RECEIPT AND TRANSMISSION OF DATA MESSAGES
Data messages, including e-mail messages, sent by you to KING OF BRANDS will be considered to be received only when acknowledged or responded to.
Data messages sent by KING OF BRANDS to you will be regarded as received when the complete data message enters an information system designated or used for that purpose by the recipient and is capable of being retrieved and processed by the recipient.
KING OF BRANDS reserves the right not to respond to any e-mail or other data message which contains obscene, threatening, defamatory or otherwise illegal, unlawful or inappropriate content, and to take appropriate action against the sender of such e-mail or data message where necessary.

7.ADVERTISING AND SPONSORSHIP

Subject to the rights afforded to you in these Terms, all other rights to all intellectual property on the Website and related to the Services are expressly reserved. You may not copy, download, print, modify, alter, publish, broadcast, distribute, sell or transfer any intellectual property, editorial content, graphics or other material on the Website or the underlying software code

9.PRIVACY AND PERSONAL INFORMATION.
We respect your privacy and your personal information, and will take reasonable measures to protect it, as more fully detailed below.

12. DISPUTE RESOLUTION AND GOVERNING LAW
Your access and/or use of the Website, any downloaded material from it and the operation of these Terms (including any transaction concluded pursuant thereto) shall be governed by and construed in accordance with the laws of South Africa only.
Should any dispute, disagreement or claim arise between the parties concerning use of the Website or the Services, the parties shall endeavour to resolve the dispute amicably, by negotiation, and with the best interests of both parties in mind.
Should the parties fail to resolve such dispute in the aforesaid manner or within such further period as the parties may agree to in their negotiation, the parties will approach an independent industry expert who shall mediate the discussion on their behalf.
Notwithstanding the above, both parties consent to the non-exclusive jurisdiction of the High Court of the Republic of South Africa (GAUTENG LOCAL DIVISION ) GAUTENG even in the event where the quantum in the dispute may be less than the monetary jurisdiction of that court. Either party may also always use the dispute resolution services of any applicable legislative tribunal or Ombud as provided for in applicable legislation.
The parties both agree that in no circumstance will either party publicise the dispute on any social media or other public platform. The parties understand that any publicity of this nature can cause serious damage to the other party, which damage may result in a financial claim.
13. TERMINATION OF USE OF WEBSITE OR SERVICES
In addition to the conditions provided for above, KING OF BRANDS reserves the right to terminate your use of the Services if you breach any of the Terms, or for any other reason.
If you wish to terminate the agreement with KING OF BRANDS, you may do so by not using the Website and/or Services.
The obligations and liabilities of the parties incurred prior to the termination date of the agreement shall survive the termination of this agreement for all purposes.
14.NOTICES AND SERVICE ADDRESS
Each of the parties chooses their service address for the purposes of the giving of any notice, the serving of any process and for any other purposes arising from these Terms as being:

No indulgence, leniency or extension of time granted by KING OF BRANDS shall constitute a waiver of any of KING OF BRANDS’s rights under these Terms and, accordingly, KING OF BRANDS shall not be precluded as a consequence of having granted such indulgence, from exercising any rights against the user which may have arisen in the past or which might arise in the future.
Words importing the singular will include the plural and vice versa. Words importing one gender will include the other genders, and words importing persons will include partnerships, trusts and bodies corporate, and vice versa.

In the event of the user breaching these Terms, the user shall be liable for all legal costs (on the scale as between attorney and client) (including collection commission) which may be incurred by KING OF BRANDS in relation to the payment failure or breach.
Each sentence, paragraph, term, clause and provision of these Terms and any portion thereof shall be considered severable and if, for any reason, any such sentence, paragraph, term, clause or provision is held to be invalid, contrary to, or in conflict with any applicable present or future law or regulation or in terms of a final, binding judgment issued by any court, it shall to that extent be deemed not to form part hereof and shall not impair the operation of, or have any effect upon such other sentence, paragraph, term, clause or provision hereof as may otherwise remain valid or intelligible, which shall continue to be given full force and effect and bind the parties hereto.
No term or condition of these Terms is intended to breach any peremptory provisions of any consumer protection legislation and any regulations thereto.

16. THE MONTHLY FEE
The agreed monthly fee is payable in advance.

You shall pay all amounts due under this Agreement by way of a monthly EFT or credit card.

If you have authorised us to collect payment for the Services by way of a monthly debit order on a date nominated by you. In the event that a monthly debit order fails, for any reason, we will debit your account on any other date for that month’s subscription. For this purpose, we are entitled to use lawful means to monitor your banking account in order to assess the most appropriate time to execute the monthly debit order.

You cannot cancel your monthly debit order without our prior written consent.

If the date of your debit order falls on a Sunday or public holiday, you agree that your debit order will go off on the last Business Day before the Sunday or public holiday.

Changes in price

We may change the price which you pay for the Services from time to time. In particular (but without limitation), we will increase the price by a reasonable margin on an annual basis. If you want to receive particular notice of such increase, you need to tell us so in writing. Should you not find an increase acceptable, you may cancel this Agreement on 20 Business Days’ notice

Failure to pay for the Services

If you do not pay for the Services in full and on time, via the debit order, you will be in breach of the Agreement and we may cease providing you with the Services, and can implement the provisions of clause ?.

Complaints

THE SERVICE PACKAGES & PERIOD OF SERVICE
Your agreement with us is for a period of 12 months ( TWELVE MONTHS.)
Not more than 80, nor less than 40, business days before the expiry date of this agreement we will notify you in writing or any other recordable form, of the impending expiry date, including notice of (i) any material changes that would apply if the agreement is to be renewed or may otherwise continue beyond the expiry date; and (ii) the options available to you in terms of paragraph (d); and (d) on the expiry of the fixed term of the consumer agreement, it will be automatically continued on a month to month basis; subject to any material changes which we have given notice, as contemplated in paragraph (c) unless you expressly:- (i) directs us to terminate the agreement on the expiry date; or (ii) agrees to a renewal of the agreement for a further fixed term.”

Subsection (3) of section 14 of the CPA reads: “Upon cancellation of a consumer agreement as contemplated in subsection (1)(b):- (a) the consumer remains liable to the supplier for any amounts owed to the supplier in terms of that agreement up to the date of cancellation; and (b) the supplier (i) may impose a reasonable cancellation penalty with respect to any goods supplied, services provided, or discounts granted, to the consumer in contemplation of the agreement enduring for its intended fixed term, if any; and (ii) must credit the consumer with any amount that remains the property of the consumer as of the date of cancellation, as prescribed in terms of subsection (4).”
We offer 5 service packages.
MONTHLY BUNDLE HOURS MUST BE UTILISED IN THE MONTH ALLOCATED AND CANNOT BE CARRIED OVER TO THE FOLLOWING MONTH FOR ANY REASON WHATSOEVER.
Hours allocated per package are in 15 minute bundles. if the session is less than 15 minutes time will not be carried over. If further time is required a fee will be agreed on and the client will have to purchase further time prior to further advice being dispensed.
Sessions will held telephonically via WhatsApp or via conference call or via Zoom or via MS TEAMS.
it is the responsibility of the client to ensure they have connectivity.

18.THE UPGRADE
The client can upgrade their package at any time by advising KING OF BRANDS in writing and agreeing to an increased payment.
Services will resume on the upgraded package as soon as the payment has cleared.
19. LEGAL AIRTIME
For services that fall outside the scope of the monthly fee options a client can purchase LEGAL AIRTIME.
LEGAL AIRTIME is how these services are paid for.

60 minute bundles can be purchased at R 1000,00 each.

5 HOUR bundles can be purchased at R 4'000,00 each
-
10 HOUR bundles can be purchased at R 8 '500.00 each
-
15 HOUR bundles can be purchased at R 13'000.00 each.
In the event that a once off instruction in requested, we will charge a flat fee equivalent to R 3'000.00. or as otherwise agreed. We reserve the right to change this rate at any time without notice to you.
URGENT FEE PREMIUM
In the event that you require URGENT ASSISTANCE, or assistance which falls outside of normal working parameters the urgent fee is calculated at 1.5 x our FLAT FEE rate, save for work done on Sundays and Public Holidays which will be charged at 2 x our hourly/daily rate.
In matters of this nature no work will commence until our requested deposit on fees has cleared in our bank account.
